Please read these Terms & Conditions (“Terms”) carefully before using the ToothSnap website and services (“Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

ToothSnap Practice Agreement

ToothSnap is a communication and advertising tool — not a dental provider. Every dental office accepts this full agreement before paying or receiving patient requests:

1. What ToothSnap is

ToothSnap is a communication and advertising platform only. ToothSnap is not a dental provider, dental clinic, or dental referral service, and it does not make clinical judgments of any kind. Nothing on the platform creates a dentist–patient relationship between you, ToothSnap, and any patient. ToothSnap simply transmits patient requests to participating offices and displays advertising and pricing information supplied by others.

2. Practice responsibility for patient care

Your practice is solely responsible for all diagnosis, treatment, treatment planning, pricing, licensing, credentialing, and patient care. ToothSnap does not practice dentistry, supervise your work, or verify the quality or outcome of any care you provide. Any professional relationship formed through a patient request is strictly between your practice and the patient.

3. No medical, clinical, or financial advice

Price estimates, local benchmarks, fair-price indicators, and comparisons shown on the platform are informational only. They are not medical, clinical, or financial advice, are not a guarantee of any outcome, and must not be relied on as a substitute for professional judgment.

4. Fees and payments

The one-time onboarding fee, monthly plan payments, and credit top-ups are non-refundable. Once a payment is processed, no cash refunds are issued for any reason.

5. Credit replacement guarantee

If a patient request turns out to be unusable — a disconnected phone number, a duplicate of a request you already received in the last 30 days, or a patient more than 50 miles from your office — report it from your lead inbox. Verified reports are resolved with one replacement credit, never a cash refund.

6. Best-effort 25-50 mile radius

ToothSnap matches patient requests to your office on a best-effort basis, normally within 25 miles and up to 50 miles when no closer office is available. Distance is measured between ZIP code centres and is an estimate, not a guarantee of patient location or intent.

7. Subscription cancellation

Monthly plans renew automatically until cancelled. You can cancel any time from your billing page; cancellation takes effect at the end of the current billing period, and credits already granted stay in your account. Partial months are not refunded.

8. Advertising and communications compliance

You are solely responsible for the accuracy of your own advertising claims and for complying with all applicable laws when responding to patient requests, including HIPAA and other privacy obligations, state dental board rules, and professional advertising regulations. You may not use the platform for unlawful, misleading, or deceptive communications.

9. Indemnification

You agree to defend, indemnify, and hold harmless ToothSnap — including any current or future parent companies, subsidiaries, affiliates, officers, directors, employees, agents, and contractors — from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your patient care, your advertising or communications, your breach of this agreement, or your use of the platform.

10. Limitation of liability

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOOTHSNAP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, OR PATIENTS. TOOTHSNAP'S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE TOTAL FEES YOUR PRACTICE PAID TO TOOTHSNAP IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.

11. Dispute resolution — arbitration and class-action waiver

Any dispute arising out of or relating to this agreement or the platform shall be resolved by binding individual arbitration, and not in court, except that either party may bring an individual claim in small claims court. YOU AND TOOTHSNAP EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE PROCEEDING. This agreement is governed by the laws of the State of New Mexico, without regard to conflict-of-law rules.

1. Services Description

ToothSnap is a communication and advertising tool — not a dental provider. ToothSnap helps dental patients understand quoted dental fees and, if they choose, connects them with licensed dental practices for a second opinion. For dental practices, ToothSnap delivers lead alerts and practice management tools. ToothSnap does not practice dentistry, make clinical judgments, or create any dentist–patient relationship.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Services. By using the Services, you represent that you meet these requirements.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account.

4. Acceptable Use

You agree not to use the Services for any unlawful purpose, to transmit any harmful code, to interfere with the platform's operation, or to collect information about other users without consent. We may suspend or terminate access for violations.

5. Intellectual Property

All content, branding, software, and materials provided through the Services are owned by ToothSnap or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

6. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TOOTHSNAP DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOOTHSNAP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING OUT OF YOUR ACCESS TO OR USE OF THE SERVICES.

8. Indemnification

You agree to indemnify and hold harmless ToothSnap and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of your use of the Services or violation of these Terms.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, without regard to its conflict of law provisions.

10. Changes to These Terms

We may modify these Terms at any time. We will post the updated Terms with a revised “Last updated” date. Continued use of the Services after changes constitutes acceptance of the revised Terms.

ToothSnap SMS Notification Program Terms

Program Description. ToothSnap offers transactional B2B SMS alerts for dental practice staff. Messages are sent when a prospective local patient requests a second opinion through the ToothSnap platform.

Opt-In. Participation is voluntary and requires explicit unchecked consent via the consent box presented at /practice/register. No purchase is required to opt in.

Frequency. Message frequency varies by local lead volume. You will typically receive alerts only when a patient in your area submits a second-opinion request.

Cost. Message and data rates may apply. Please contact your wireless carrier if you are unsure about your messaging plan.

Opt-Out. You may unsubscribe at any time by replying STOP to any message. After opting out, you will no longer receive SMS alerts unless you opt in again.
